You and Rent With Thred agree that any dispute, claim, or controversy arising out of or relating to this Agreement or the breach thereof (whether based in contract, tort, statute, fraud, misrepresentation, or any other legal theory) will be settled by binding arbitration, except that you may assert individual claims in small claims court, if your claims qualify. The Federal Arbitration Act will govern the interpretation and enforcement of this arbitration agreement.

2. ARBITRATION RULES AND GOVERNING PROCEDURE

The arbitration will be administered by JAMS (Judicial Arbitration and Mediation Services) in accordance with its Comprehensive Arbitration Rules and Procedures, unless the parties mutually agree otherwise. If JAMS is unable or unwilling to serve, the parties will select an alternative arbitrator. The arbitrator will have the authority to award any relief that would be available in court under applicable law. The arbitration will be conducted in the English language.

3. COSTS OF ARBITRATION

Rent With Thred will pay all filing, administration, and arbitrator fees for any arbitration initiated in accordance with the notice requirements below, unless your claim is determined by the arbitrator to be frivolous. You are responsible for your own attorney's fees and costs, unless applicable law provides otherwise.

4. LOCATION

Unless you and Rent With Thred mutually agree otherwise, the arbitration will be conducted in your county of residence.

5. RIGHT TO OPT OUT

You have the right to opt out of this arbitration agreement. If you wish to opt out, you must send written notice to Rent With Thred within thirty (30) days of first accepting these Terms. Your notice must include your name, address, email address, and a clear statement that you want to opt out of this arbitration agreement. If you opt out of this arbitration agreement, all other terms will continue to apply, but you and Rent With Thred will not be required to arbitrate disputes.

Notwithstanding the above, you may bring an individual action in small claims court, if the claim qualifies. However, if you opt out of the arbitration agreement, Rent With Thred may elect to bring an action against you in small claims court instead of arbitration.

7. EXCEPTIONS TO ARBITRATION

Notwithstanding the above, the following matters are not subject to arbitration and may be brought in court:

a. Any claim or dispute that, by law, cannot be subject to mandatory arbitration

b. Claims for workers' compensation or, in applicable jurisdictions, unemployment insurance benefits

c. Claims that arise from or relate to allegations of harassment, discrimination, or a hostile work environment

8. CONFIDENTIALITY

You and Rent With Thred agree that any arbitration will be kept confidential. You may not disclose the existence, content, or results of any arbitration without the prior written consent of Rent With Thred, except as necessary to enforce or challenge the award or as required by law.

9. SEVERABILITY

If any portion of this arbitration agreement is found to be unenforceable, the remainder will continue in full force and effect. If the class action waiver is found to be unenforceable, the entire arbitration agreement will be void.

CLASS ACTION WAIVER

YOU AND RENT WITH THRED AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. UNLESS BOTH YOU AND RENT WITH THRED AGREE OTHERWISE, THE ARBITRATOR MAY NOT CONSOLIDATE OR JOIN MORE THAN ONE PERSON'S CLAIMS AND MAY NOT OTHERWISE PRESIDE OVER ANY CONSOLIDATED, REPRESENTATIVE, OR CLASS PROCEEDING. IF YOU CHOOSE TO OPT OUT OF THIS ARBITRATION AGREEMENT, THIS CLASS ACTION WAIVER WILL NOT APPLY TO YOU.
